In the middle of negotiating with the founder (non-tech) of a tech startup for a fair equity stake for joining as a tech co-founder. He owns 100% shares for his C-corp and he's based in NY. So far he's outsourced his website project to India and is about to launch the beta version. Founder indicated that he's invested 13-20K from his own pocket and would not mind to give up a good chunk of shares to the right person (partner). Founder also would like cash investment.

Before negotiating and entering into a co-founder agreement, I hope that you have conducted a comperehensive due diligene of the company to ensure it owns and is actively protecting its IP, since IP protection in India could be an issue. I will be happy to help you in conducting this due diligence as well as negotiating and drafting the co-founder agreement. You can email me at amrita@auxiliumlaw.com.
